By accessing or using the Rally platform (the "Platform"), you agree to be bound by these Terms & Conditions (the "T&C"). If you do not agree to these T&C, you must immediately discontinue use of the Platform.

Rally may modify these T&C at any time. Your continued use of the Platform after any such changes constitutes your acceptance of the modified T&C.

Rally provides: a memecoin launchpad; a Bonding Curve trading environment; automated migration to external markets (for example, Uniswap); and a tiered referral program.

Rally is non-custodial. You retain 100% control of your wallet. Rally is not responsible for wallet compromise or lost private keys. Signing a message authenticates ownership of the wallet you connect to the Platform.

You must be at least 18 years of age, or the age of majority in your jurisdiction, whichever is greater. You must comply with all applicable local financial, anti-money-laundering (AML), and anti-terrorism laws. You must not be a resident of a Sanctioned Country.

You may not engage in illegal or fraudulent token creation or trading. You may not engage in wash trading, Sybil attacks, or manipulation of the Bonding Curve. You may not harm or overburden Rally infrastructure.

A 1% total trade fee applies to bonding-curve trades. Fees are automatically collected and split between the Creator, the Referrer, and the Platform. These fees are final and non-refundable.

• Standard Tier is granted automatically upon wallet connect (30% share of the platform cut).
• Partner Tier is automatically granted upon reaching milestones (10 users invited or $50,000 referred volume).
• KOL Tier is available only via manual Admin approval (80% share).

There is no guarantee of referral earnings or performance.

A token graduates when it reaches its funding target. Rally takes a service fee and automatically transfers the remaining funds and token supply to Uniswap; no human controls this process. Raised funds are locked forever on-chain. Rally is not responsible for any inability to access or trade on external markets.

The creator selects either the Standard or Community model at launch. This choice is permanent and cannot be altered after launch. Community Token holders must pay their own gas fees to claim pool rewards.

You assume all risk arising from smart contract bugs; network congestion, downtime, or forks; and lag in Rally's Indexer (which runs every 4 seconds but may lag live chain data).

Nothing on the Platform, in documentation, or in marketing materials constitutes financial or investment advice. The Bonding Curve's mathematics does not guarantee a token's success. There is no warranty regarding price, profit, market cap, or secondary-market performance. A token's success depends on social and market forces, not mathematics alone.

Any dispute arising out of or relating to these T&C or the Platform shall be resolved by binding arbitration under the rules of the International Chamber of Commerce (ICC). You waive any right to bring or join a class action or other representative proceeding.
